This page describes five hypothetical users of a Variable Capital Company (VCC) and shows the structure each would typically examine, the main risks and the professionals involved. The scenarios are hypothetical composites, not real clients or recommendations, and say nothing about returns. A sixth section covers cases where a VCC is usually the wrong tool.

How to read these scenarios

Each scenario gives the objective, a possible structure (one option, not a prescription), key risks and professionals required.

# User Vehicle examined Pivotal decision
1 Asia-focused hedge fund manager Standalone open-ended VCC 13O or 13U, and own licence or third-party manager
2 PE/VC manager, ten-year fund Closed-end VCC or LP Investor familiarity and closed-end tax treatment
3 Manager of an offshore corporate fund Re-domiciled VCC Outgoing-jurisdiction process and the 60-day rule
4 Multi-generation single family office Umbrella VCC Who acts as fund manager; SFO 13O/13U conditions
5 Licensed third-party manager Umbrella platform VCC Conflicts and shared exposure across sponsors

One pattern runs through all five: the permissible fund manager comes first. ACRA requires the manager's details and a signed declaration at registration, and the manager's staffing and spending determine whether tax-incentive conditions can be met (see fund manager). Singapore rules only; investors' home-country tax needs separate advice.

Scenario 1: an Asia-focused hedge fund manager launching its first Singapore fund

A small investment team plans an open-ended long/short fund for accredited and institutional investors, with monthly dealing.

Heading Description
Objective A Singapore-domiciled fund with regular subscriptions and redemptions, and room to add strategies later
Possible structure (1) Apply for an Accredited/Institutional LFMC licence through Form 1 on eLicensing (MAS expects up to 6 months to review complete applications), or appoint a licensed third-party manager in the meantime; (2) a non-umbrella open-ended VCC, which ACRA allows to change type later; (3) auditor within 3 months, company secretary within 6 months, administrator and eligible financial institution; (4) compare 13O (2 qualifying investment professionals, required throughout each basis period from YA 2028; S$5 million AUM in DI at application) with 13U (3 professionals, S$50 million), and the local business spending tiers of S$200,000, S$300,000 or S$500,000 by AUM band
Key risks Licence timing; any basis period in which economic conditions are not met does not enjoy the exemption; offer restrictions for accredited and institutional investors; key-person dependence
Professionals required Fund counsel, tax adviser, fund administrator, auditor, company secretary, bank and prime broker or custodian

The lesson is that incentive conditions are tested every basis period (MAS FDD Cir 05/2026), so they should be budgeted as recurring commitments. They are not a one-off hurdle.

Scenario 2: a PE/VC manager with a ten-year closed-end fund

A venture capital manager is raising a fund with capital calls, a ten-year term and carried interest.

Heading Description
Objective A familiar fund document for institutional limited partners, with tax efficiency in Singapore
Possible structure Compare a closed-end VCC (MOF, 2018: VCCs can be used for closed-end funds) with a Singapore LP under 13OA (available from 1 January 2025). For a non-family-office fund whose award commences on or after 1 January 2025, MAS offers an irrevocable closed-end fund treatment: local business spending is met cumulatively up to the tenth incentive year and waived from the eleventh, and the award is revoked from the end of the divestment phase or the day after the 20th incentive year, whichever is earlier (FDD Cir 05/2026, paras 3.9 to 3.11)
Key risks Investors who expect LP documentation; valuation of unlisted holdings for the audit; custody of private assets; capital-call mechanics in a share-based vehicle
Professionals required Fund counsel, tax adviser, administrator experienced in private assets, auditor, company secretary; manager licensed in the appropriate MAS category, such as Venture Capital Fund Manager

The comparison between the two vehicles is on compare; the closed-end treatment is irrevocable, so it should be modelled before election.

Scenario 3: a manager re-domiciling an offshore corporate fund

A manager has relocated its team to Singapore and wants its existing offshore corporate fund to follow.

Heading Description
Objective Keep the fund's corporate history, contracts and track record while moving its domicile
Possible structure ACRA re-domiciliation: the fund must have a similar corporate structure, its current jurisdiction must allow the transfer, and it must not be in liquidation, judicial management or being wound up. Documents include certified copies of the current constitution and certificate of incorporation, the proposed Singapore constitution, and a directors' declaration on the financial requirements in VCC Regulations reg 9(1)(a) and (b). Fee: S$9,000 + S$400 per sub-fund; ACRA states 14 to 60 days. Existing obligations, liabilities, property and rights remain unchanged
Key risks Proof of deregistration from the old jurisdiction is due within 60 days of approval (S$200 per extension), or ACRA may revoke the registration; investor notice and consents; tax in the outgoing jurisdiction; re-papering bank and service contracts
Professionals required Counsel in both jurisdictions, tax advisers in both, a Singapore permissible fund manager, administrator, auditor, company secretary

The full checklist is on re-domiciliation.

Scenario 4: a single family office with several strategies across generations

A family has incorporated a single family office (SFO) in Singapore and wants separate pools for a liquid portfolio, direct private investments and a branch of the next generation.

Heading Description
Objective One fund vehicle with segregated pools, shared governance and a possible 13O or 13U award
Possible structure The SFO relies on the class licensing exemption in force since 15 June 2026: it notifies MAS within 14 days of commencing operations, and assets from key employees must not exceed 10% of AUM. The SFO and its fund vehicle each keep an account with a MAS-licensed bank. An umbrella VCC holds one sub-fund per pool. Under the VCC Act the manager must fall within the permitted categories (broadly a licensed fund manager or certain exempt financial institutions); the SFO exemption sits in separate regulations, so whether an exempt SFO can itself be the VCC's manager is a question for counsel. For SFO fund awards approved on or after 1 August 2026, 13O requires at least 2 qualifying investment professionals (at least 1 not a family member) and S$20 million in AUM in DI at application and at the end of each basis period; 13U requires 3 professionals and S$50 million. Minimum local spending is S$200,000, S$500,000 or S$1,000,000 for AUM in DI below S$250 million, from S$250 million to below S$2 billion, and S$2 billion or more respectively, plus a private banking account and a capital deployment requirement (FDD Cir 05/2026, Table C)
Key risks Unresolved manager question; one board serving branches with different interests; MAS treats an umbrella as one entity for the award; MAS generally does not grant case-by-case SFO exemptions, and departing key employees must exit within one year (SFO FAQ, updated 31 July 2026); if the VCC is to own insurance, insurable interest and governance must be checked first (see ppli.com.sg)
Professionals required Family-office counsel, tax adviser, licensed manager or compliance adviser, administrator, auditor, private bank

A VCC does not confer residency on family members. See single family office.

Scenario 5: a third-party manager running an umbrella platform

A licensed fund manager offers independent investment teams their own sub-fund inside one umbrella VCC, so that each team avoids setting up a separate vehicle.

Heading Description
Objective Fast launch of new sub-funds on shared infrastructure
Possible structure One umbrella VCC; each sub-fund registered on the VCC Portal within seven days of formation (S$400; ACRA processes within three working days). Sub-funds share the board, manager, custodian, auditor and administrator (MOF, 2018). Assets of one sub-fund cannot discharge another's liabilities under Singapore law
Key risks Conflicts on a shared board; due diligence on each team; AML/CFT checks on every team's investors; whether foreign courts recognise segregation; for an incentive award MAS treats the umbrella as one entity and aggregates local business spending, so teams share exposure to whether conditions are met
Professionals required Platform counsel, independent directors, administrator, auditor, eligible financial institution, tax adviser

When a VCC is not the right tool

A VCC is usually disproportionate for a single investor's portfolio that needs no pooling, redemptions or sub-funds, where a managed account or a holding company may do the job, or when assets are too small to carry the fixed annual cost of the mandatory roles (costs). Before choosing, check four points:

  1. Who will be the permissible fund manager, and is that settled?
  2. Can the tax-incentive conditions be met every basis period, not just at application?
  3. Are all mandatory roles filled by named, verifiable providers?
  4. Does the investor base require authorised-scheme rules?
