A permissible fund manager is the regulated entity a VCC must appoint to manage its property or operate its funds. Under section 46 of the Variable Capital Companies Act 2018, a VCC "must at all times have a manager" that is a holder of a capital markets services (CMS) licence for fund management, a financial institution mentioned in section 99(1)(a) to (d) of the Securities and Futures Act 2001 (SFA), such as a bank, or a person prescribed by regulations. Section 46(3) adds that "a VCC cannot be its own manager" (Singapore Statutes Online, current version as at 24 October 2026).

The manager is therefore the first decision in any VCC project, and the one that sets the timeline. ACRA's registration form asks for the manager's details and signed declaration before the VCC can be incorporated. This page explains who qualifies, how MAS licensing works, and how a sponsor chooses between appointing a third-party manager and building its own.

Why the manager comes first

Three rules make the manager central:

  1. Incorporation depends on it. ACRA's VCC registration requires the fund manager's UEN, name, business address, country of incorporation and a signed declaration (Step 5a, 19 October 2026). Section 47 of the VCC Act prohibits naming a manager in incorporation documents unless it has filed a consent and a statement that it falls within section 46(2).
  2. The board must include a manager link. Section 48 requires at least one director who is a director or a qualified representative of the manager; this can be the same person as the resident director (ACRA, Step 2, 29 January 2026).
  3. The VCC can never be without one. The "at all times" wording means a change of manager has to be planned as a handover, not a gap.

The manager also anchors the fund tax schemes. Under MAS FDD Cir 05/2026 (31 July 2026), a 13O fund must be managed or advised throughout each basis period by a fund management company in Singapore that holds a CMS licence for fund management or is exempt from holding one, and the economic conditions (investment professionals, local business spending) are measured at that manager.

Who qualifies today

Category in section 46(2) Examples Notes
(a) CMS licence holder for fund management Retail LFMC; Accredited/Institutional LFMC; VCFM A suspended licence does not count (s46(4))
(b) Registered fund management company — Deleted with effect from 6 May 2026; MAS repealed the RFMC regime from 1 August 2024
(c) Persons in SFA s99(1)(a) to (d) Banks, merchant banks, finance companies and licensed insurers Exempt from holding a CMS licence for this activity
(d) Prescribed persons or classes As set out in regulations Check current subsidiary legislation with counsel

ACRA's directors page (29 January 2026) still lists a "registered fund management company" among permissible managers, which reflects the earlier statutory wording. Under the MAS repeal, existing RFMCs had to apply between 1 April and 30 June 2024 to convert to A/I LFMC status or be treated as having ceased fund management (MAS FAQs, 25 April 2024); MAS's 2024 licensing report confirms the regime was repealed on 1 August 2024.

Single family offices. From 15 June 2026, qualifying single family offices are exempt from licensing under paragraph 5(1)(ba) of the Second Schedule to the Securities and Futures (Licensing and Conduct of Business) Regulations. That exemption is not one of the categories listed in section 46(2), so whether an exempt SFO can itself be a VCC's manager depends on whether it falls within a prescribed class. Resolve that with counsel before structuring; see single family office.

MAS licence categories and admission criteria

MAS describes three licensed categories (Fund managers page, 19 March 2026). Guidelines SFA 04-G05 (last revised 3 September 2025) set the minimum criteria:

Criterion A/I LFMC Retail LFMC VCFM
Investors Qualified (accredited and institutional) investors only All types of investors Closed-end venture capital funds offered to accredited and institutional investors (Appendix 4)
CEO experience 5 years; full-time, resident in Singapore 10 years; full-time, resident in Singapore Full-time, resident in Singapore
Directors At least 2 (5 years' experience), of whom at least 1 executive director resident in Singapore Same as A/I LFMC At least 2, of whom at least 1 executive director
Relevant professionals At least 2, 5 years' experience At least 3, 5 years' experience At least 2 full-time professionals and representatives resident in Singapore
Full-time representatives in Singapore At least 2 At least 3 Counted with the professionals above
Base capital S$250,000 (Table 2, category (c): business other than retail CIS or retail mandates) S$1,000,000 for retail CIS; S$500,000 for non-CIS retail mandates Exempt from the specified requirements in Part III of the SF(FMR)R; see Appendix 4

All LFMCs (other than VCFMs, which are exempt from these specified requirements) must also hold financial resources of at least 120% of their total risk requirement. Retail LFMCs must carry professional indemnity insurance meeting the guidelines' minimums.

Two qualitative criteria often decide applications. MAS "does not consider experience in investing one's own moneys or moneys belonging to family members, as being relevant experience" for a manager of third-party money (SFA 04-G05 paragraph 3.8). And an FMC must carry out substantive fund management in Singapore, with independent custody and independent valuation of the assets it manages.

Third-party manager or your own LFMC

Dimension Appoint an existing licensed manager Build your own LFMC
Time to launch Shorter; limited to the manager's onboarding and the VCC filing Add up to 6 months of MAS review, plus the IPA period
Control Investment decisions sit with the manager under its mandate; sponsor influence through advisory or sub-advisory roles Full control, with full regulatory responsibility
Official costs No MAS licence fee for the sponsor Base capital from S$250,000, annual fee from S$4,000, Singapore office and staff
Ongoing burden Manager's compliance function, conflicts policy and capital Own compliance arrangements, audits, capital monitoring and MAS reporting
13O/13U conditions Investment professionals counted at the manager Sponsor hires the professionals itself
Exit Change of manager requires a replacement in place Licence surrender and wind-down if the business stops

Third-party arrangements are often described as "manager-for-hire" or platform models. The mandate should state who takes investment decisions, how conflicts between the platform's various VCC clients are handled, and how the VCC can replace the manager.

How to verify a manager

  1. Search the MAS Financial Institutions Directory (eservices.mas.gov.sg/fid) for the entity's name and licence type: Retail LFMC, A/I LFMC or VCFM.
  2. Check that the licence covers the investors you plan to reach; an A/I LFMC should not manage funds offered to retail investors.
  3. Check MAS's Investor Alert List, bearing in mind MAS notes it "is not exhaustive".
  4. Confirm the manager's representatives and the person who will sit on the VCC board as director or qualified representative.
  5. Ask for the manager's custody, valuation and conflicts arrangements in writing.

ACRA registration of a VCC is not a check on the manager, and a licence does not mean MAS has assessed a fund's strategy or merits. The roles that work alongside the manager are covered on service providers, and the filing sequence on how to incorporate a VCC. If you need a manager route assessed for your own fund or family, you can register your enquiry through the contact options on this site.
