Before you start: what you need in hand
| Item | Why it matters | Where it is covered |
|---|---|---|
| A permissible fund manager, or a plan to license one | Required for incorporation and at all times (VCC Act s46) | Fund manager |
| Directors who meet ACRA's tests | At least one resident director and one manager-linked director | Service providers |
| Structure decisions | Umbrella or not, open or closed-end, FYE, accounting standard | Structure choices |
| Singpass access or a registered CSP | Foreigners without Singpass must use a CSP | Step 3 below |
| A budget for fees and providers | ACRA fees are S$8,015 plus S$400 per sub-fund | Costs |
Two questions decide the critical path: does a manager with the right MAS licence already exist, and will the fund rely on a 13O or 13U award, with its staffing, spending and Singapore-based administrator conditions? Most delays come from these and from onboarding checks outside the ACRA filing, so a shared tracker of each document, owner and due date helps.
The eight steps
Step 1: Confirm the permissible fund manager
What happens. Decide whether the VCC will be managed by an existing licensed manager, a bank or other exempt institution, or a new licensed fund management company (LFMC) the sponsor sets up.
- Documents: Investment management agreement (draft); the manager's MAS licence details; for a new LFMC, MAS Form 1 through eLicensing with business plan, shareholder and key-individual information, and capital plan.
- Who does it: Sponsor and counsel; the manager; MAS for a new licence.
- Time: For a new LFMC, MAS expects "up to 6 months" to review a complete application, then up to 6 months (extendable by 3) to meet in-principle approval conditions (MAS, 29 August 2024).
- Common sticking points: Key individuals whose experience is only in managing their own or family money, which MAS does not treat as relevant experience (SFA 04-G05 para 3.8); assuming a registered fund management company can still act, although that category was removed from the VCC Act list from 6 May 2026; for single family offices, the unresolved question of whether an exempt SFO can be the VCC's manager.
Step 2: Appoint directors and key officers
What happens. Line up the board and officers.
- Documents: Identity and address documents for each director; evidence of residency status (citizen, PR, EntrePass or Employment Pass with Letter of Consent) for the resident director; confirmation that one director is a director or qualified representative of the manager; consents to act.
- Who does it: Sponsor, manager and CSP.
- Time: Varies; directors must be in place at filing.
- Common sticking points: No director who is ordinarily resident in Singapore; the manager-linked director requirement overlooked; fit and proper questions under the VCC Regulations 2020; retail authorised schemes needing at least three directors, one independent (ACRA Step 2, 29 January 2026).
Step 3: Engage a corporate service provider if needed
What happens. ACRA states that foreigners without Singpass must engage a CSP to register the VCC on their behalf.
- Documents: CSP engagement letter; CSP's own customer due diligence on the sponsor, directors and beneficial owners.
- Who does it: Sponsor and CSP.
- Time: Depends on the CSP's onboarding checks.
- Common sticking points: Using a firm that is not registered under the Corporate Service Providers Act 2024 (in force 9 June 2025); incomplete source-of-wealth information for the CSP's checks.
Step 4: Reserve the VCC name
What happens. Apply for the name on the VCC Portal; the approved name and its eService number are needed for the registration.
- Documents: Proposed names.
- Who does it: Sponsor (with Singpass) or CSP.
- Fee: S$15 (ACRA Step 1).
- Common sticking points: Names that are identical to existing entities or need referral to another authority, which adds time.
Step 5: Choose the VCC type and financial year end, and prepare the constitution
What happens. Select non-umbrella or umbrella type and the financial year end (12 months or 52 weeks), and finalise the constitution. ACRA notes the constitution is "not public, but the government can request it".
- Documents: Constitution; registered office address; subscriber details; offering documents in draft.
- Who does it: Counsel with the manager, administrator and auditor.
- Time: Varies with the complexity of share classes and sub-funds.
- Common sticking points: A year end that clashes with the auditor's timetable; liquidity and valuation terms that differ between the constitution and offering documents.
Step 6: File the registration on the VCC Portal
What happens. Submit the application and pay the incorporation fee.
- Documents (ACRA Step 5a): Approved name and eService number; VCC type and FYE; registered office address; details of directors and key officers; subscriber details; the fund manager's UEN, name, business address, country of incorporation and signed declaration; the constitution.
- Who does it: Sponsor with Singpass, or CSP.
- Fee and time: S$8,000, non-refundable. ACRA's stated range is 14 to 60 days, including referral-authority reviews. Where a CSP did not file, all key officers and subscribers must give their consent online within 60 days of the email notification.
- Common sticking points: Missing officer consents within the 60-day window; mismatches between manager details and its MAS record; referrals that push approval towards the end of the range.
Step 7: Complete post-incorporation set-up
What happens. Put in place everything ACRA, MAS and the banks require after the VCC exists.
Task Deadline or note Source Download the free Business Profile Within 30 days ACRA Step 6 Apply for Corppass After the UEN is issued ACRA Step 6 Appoint an auditor Within 3 months of incorporation ACRA Step 2 Appoint a company secretary Within 6 months of incorporation ACRA Step 2 Engage an eligible financial institution and set up a beneficial-owner register Practice: before onboarding investors (the Notice requires CDD before business relations are established) MAS Notice VCC-N01 paras 4.1, 7.17–7.19 Register a data protection officer At least one, under the PDPA ACRA Step 6 Open a bank account Subject to the bank's own due diligence; SFO structures need a MAS-licensed bank account MAS SFO FAQs, 31 Jul 2026 - Who does it: Board, company secretary, EFI, administrator and bank.
- Common sticking points: Bank onboarding running longer than the ACRA filing; officer changes not updated within 14 days.
Step 8: Register sub-funds and apply for tax incentives
What happens. For an umbrella VCC, register each sub-fund on the VCC Portal "within seven days of the sub-fund's formation"; ACRA processes it "within three working days" (Step 6, 15 June 2026). Then, if the fund relies on a tax scheme, apply to MAS for a 13O or 13U award.
- Documents: Sub-fund details and fee (S$400 each); for tax awards, the application with fund, manager and administrator information.
- Who does it: Company secretary or CSP (ACRA filing); manager and tax adviser (MAS application).
- Time: ACRA as above. IRAS states there is no need to inform it of new sub-funds, as ACRA data flows to IRAS; if no sub-fund tax reference is received within 3 months, email IRAS (e-Tax Guide FAQ 8.1, 22 April 2026).
- Common sticking points: Offering documents not ready when the sub-fund is formed, so the 7-day window is missed; a 13O or 13U fund without a Singapore-based fund administrator; staffing and spending conditions that the manager cannot yet meet (MAS FDD Cir 05/2026). Awards are granted by MAS on application and are conditional.
