Choosing a VCC structure means making five or six decisions before the application goes into ACRA's VCC Portal: umbrella or non-umbrella, open-ended or closed-end, which investors, which financial year end, which accounting standard, and whether several strategies belong in one VCC or several. ACRA defines a non-umbrella VCC as "a single investment fund with one set of assets and liabilities" and an umbrella VCC as "an investment fund with two or more sub-funds" (Step 4, 29 January 2026).
Some choices are easy to change later (the VCC type can be changed after registration), while others, such as a closed-end tax election, are irrevocable. This page sets out the trade-offs so that the sponsor, fund manager, lawyers, administrator and auditor can agree them before filing. It describes Singapore rules only and is not legal or tax advice.
Decision 1: umbrella or non-umbrella
A non-umbrella (standalone) VCC is one fund. An umbrella VCC is a single company with two or more sub-funds, each holding its own portfolio. The 2018 MOF note on the VCC Bill describes the key legal feature: "the assets and liabilities of each sub-fund must be segregated. The assets of one sub-fund cannot be used to discharge the liabilities of another sub-fund", and "each sub-fund must be wound up separately". IRAS's e-Tax Guide refers to this segregation as section 29 of the VCC Act.
| Dimension | Non-umbrella VCC | Umbrella VCC |
|---|---|---|
| Legal entity | One VCC, one fund | One VCC, two or more sub-funds (sub-funds are not separate companies) |
| ACRA filing for a new strategy | Usually a new VCC (S$8,015 incl. name fee) | Register a sub-fund within 7 days of formation (S$400; processed within 3 working days) |
| Board and service providers | Its own | Sub-funds can share the board, manager, custodian, auditor and administrator (MOF 2018) |
| Liability between portfolios | Not applicable | Statutory segregation between sub-funds under Singapore law |
| Income tax | One entity | One entity, one set of returns; income computed per sub-fund; sub-fund losses quarantined (IRAS) |
| GST and stamp duty | The VCC | Each sub-fund is a separate person (IRAS) |
| 13O/13U award | Per fund | Umbrella treated as one entity for the award; a new sub-fund is not a new award (MAS) |
Fees are from ACRA Step 1 and Step 6 (pages dated 29 January and 15 June 2026). Segregation is statutory under Singapore law; whether a court elsewhere, where assets or counterparties sit, would respect it is a question for counsel in that jurisdiction.
Decision 2: open-ended or closed-end
A VCC can be used for both. The 2018 note states that VCCs "can be used as vehicles for both open-ended and closed-end funds, and for both traditional and alternative strategies", and the 2020 launch release listed venture capital, private equity, hedge and ESG funds among the first 20 VCCs.
Variable capital matters most for open-ended funds. ACRA states that a VCC "can issue and redeem shares without shareholder approval" and "can pay dividends from the VCC's capital, not just profits" (Step 1). That lets subscriptions and redemptions happen at net asset value without the capital-reduction procedures that apply to Companies Act companies. The cost is operational: regular NAV calculation, a transfer agent function and liquidity-management terms (notice periods, gates, suspension powers) written into the constitution and offering documents.
For closed-end funds, variable capital is less central; capital calls, distributions and a fixed life are the main features. MAS FDD Cir 05/2026 (31 July 2026) offers a closed-end fund treatment for 13O/13OA/13U awards: local business spending can be met cumulatively over award years 1 to 10, is waived from year 11, and the award is revoked from the end of the divestment phase or the day after the 20th incentive year, whichever is earlier (para 3.10). The election is irrevocable. Whether a VCC or a limited partnership suits a closed-end fund better is covered on compare.
Decision 3: the investor base
Who the shares will be offered to shapes governance, documents and cost:
- Retail investors require an authorised scheme under the SFA. ACRA requires a VCC with authorised schemes to have at least three directors, one of whom must be independent (Step 2, 29 January 2026). Custody and trustee-type requirements for retail schemes follow the SFA and MAS's Code on Collective Investment Schemes.
- Accredited and institutional investors are typically reached through restricted schemes, with lighter disclosure. For individuals, accredited-investor status turns on thresholds in SFA section 4A (for example, net financial assets exceeding S$1 million).
- A single family or a small group may rely on other exemptions, but the analysis is fact-specific and should be confirmed with counsel.
Independently of the offer route, a CMS-licensed fund manager must ensure assets under management are subject to independent custody and independent valuation (MAS Guidelines SFA 04-G05). See service providers.
Decision 4: financial year end
ACRA requires a financial year end (FYE) to be chosen at registration; the accounting period can be 12 months or 52 weeks (Step 4). The FYE sets the clock for most recurring obligations:
| Obligation | Deadline counted from FYE | Source |
|---|---|---|
| Annual general meeting (unless dispensed with) | Within 6 months | ACRA, AGM requirements, 29 Jan 2026 |
| Financial statements to members where no AGM is held | Within 5 months | ACRA, AGM requirements |
| Annual return | Within 7 months, after the AGM | ACRA, annual return requirements, 29 Jan 2026 |
| Estimated Chargeable Income | Within 3 months (exemption conditions apply) | IRAS e-Tax Guide, 22 Apr 2026 |
Many sponsors align the FYE with the manager's group reporting, the auditor's busy season and investor reporting expectations. In an umbrella VCC all sub-funds share the company's FYE. See the compliance calendar.
Decision 5: accounting standards
The 2018 MOF note states that VCCs "can use either Singapore or other recognised international accounting standards", naming IFRS and US GAAP. The choice usually follows the investor base and the manager's other funds: US GAAP for funds marketed mainly to US investors, IFRS or Singapore Financial Reporting Standards (International) for others. Because the 2018 note is a policy document, confirm the current position with the auditor before filing. Changing standards after launch means restating comparatives and re-papering investor reports, so the choice is best made once.
Two further points apply to umbrella VCCs. IRAS notes that the VCC Act requires separate accounts for each sub-fund, with financial statements presented separately (sections 99 and 100). And ACRA states that the audit exemptions in Companies Act sections 205B and 205C do not apply to VCCs, so every VCC is audited whatever its size.
Decision 6: one VCC, one umbrella, or several VCCs
Sponsors with more than one strategy, investor group or family branch usually compare three options:
| Option | Advantages | Trade-offs |
|---|---|---|
| One umbrella VCC with several sub-funds | One board and one set of providers; S$400 per additional sub-fund; one tax filing and, for 13O/13U, one award covering new sub-funds | Shared governance; conflicts between sub-fund investor groups go to one board; spending conditions are measured across all sub-funds |
| Separate standalone VCCs | Clean separation of boards, providers and investor bases; one fund's issues do not touch the others' corporate administration | Each VCC pays incorporation fees and carries its own audit, secretary and filing load |
| Standalone VCC now, umbrella later | Simple start | Changing type later is permitted (ACRA) but means amending the constitution and documents, which has its own legal cost |
There is no universally right answer. The choice depends on how independent the strategies or investor groups need to be, how much the sponsor wants to share costs, and how each structure fits 13O or 13U conditions (see how VCCs are taxed). Costs are broken down on what a VCC costs, and the filing sequence on how to incorporate a VCC. If you need these choices tested against your own fund, you can register your enquiry through the contact options on this site.
